This agreement is made between Heartstring Designs (HD), a Utah company having a principal place of business at 133 N 170 W., Orem, UT 84057 and the consultant (Designer) whose name appears in the informational part of this form.

The term of this Agreement will begin upon Heartstring Designs’ acceptance of Consultant Agreement and will end when terminated by either party. Either Consultant or HD may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. If Designer is found to be in violation of HD’s policies and regulations and that if such violation is not cured within 30 days of Designer’s receipt of a written notice, HD may terminate this agreement immediately.

Designer will be an independent contractor and not an employee, agent or local representative of Heartstring Designs (HD), and as an independent contractor, will not be treated as an employee for Federal or State Tax purposes. Designer agrees to comply with all city, state, federal and other laws pertaining to the conduct of his/her business, including collection and payment of all applicable taxes.

Designer agrees to comply with the policies and regulations of Heartstring Designs. Designer understands and agrees that these policies and regulations are incorporated as a part of the agreement. Designer understands and agrees that these policies and regulations may be changed form time to time at HD's sole discretion, and that such changes become part of this agreement upon publication and distribution.

IF ANY MODIFICATION IS UNACCEPTABLE TO DESIGNER, DESIGNER’S ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. DESIGNER’S CONTINUED PARTICIPATION IN THE PROGRAM FOL- LOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR WEBSITE, BY E-MAIL OR IN WRITING WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.

The Designer is responsible for scheduling all workshops. There are no stated results, financial or otherwise on the part of Heartstring Designers.

The company shall not be held responsible for any damages incurred to or by the Designer while representing Heart- string Designs.

Shipping and handling is not commissionable and will be forwarded directly to the company.

All sales to Designer by HD will not be subject to refunds except to the extent specifically re-quired by application law. Exchanges will be allowed only in the event of mis-shipped or damaged products and then only if the claim or request for exchange is made within (15) days of original shipment and provided shipment is returned unused and in original packaging.

This agreement is personal to Designer and may not be assigned to any other person, partnership or corporation without the prior written consent of HD.

The consultant agrees to purchase all materials used in the workshops or classes, or sold to the participants of these workshops, or to other customers, from the company. HD expects that primary products used for demonstration will be purchased through HD, however HD understands that other supplemental products will need to be purchased by the Designer for use in demonstrating HD products.

It is expected that the Designer conduct themselves in a professional manner that will not reflect in a negative manner upon Heartstring Designs. It is required that all Designers represent Heartstring Designs solely at all workshops, crops, events, etc. and no other home party, direct sales or business building opportunities.

Shipment of HD products are based on availability. HD will issue in house credit on items that are not available in a timely manner. All advertising media (paper, radio, tv, internet, flyers) shall be approved by the company before the advertising is used or printed for use. All advertising media shall include the trademark logo of the company and state that the advertiser is an independent scrapbook designer with Heartstring Designs. Product and information websites are permitted. Images, text and other content must be submitted to HD for approval. HD reserves the right to require any changes necessary to all websites. Approval is based upon image quality and representation of company policies and procedures. All sites will be monitored by HD. Notice will be given to any websites that do not comply with company regulations.

This agreement shall be governed by the laws of State of Utah and Designer agrees that any disputes arising out of this agreement will be litigated in Utah County, Utah.

By signing this agreement the Designer acknowledges the terms and conditions set forth within this agreement and will abide by it’s terms.
